分拆(Spin-off)是指將欲裁撤的營運或事業部門分割出去成為獨立公司。若分拆後母公司已不存在，母公司股東將其所持有之母公司股份換成子公司股票稱Split-up。
Spin (Spin-off) refers to the desire to abolish the service or business unit split out as an independent company. If the parent company after the spin-off does not exist, the parent's shareholders will be held by the parent company's shares into shares of the subsidiary called Split-up.
